  1. SERVICES

MixLux provides professional DJ, lighting, production, and event entertainment services. All services are subject to availability and executed strictly pursuant to a signed agreement and paid retainer.

No services are considered booked or guaranteed until a contract is fully executed and required payments are received.

  1. WEBSITE USE

You agree not to:

  • Use this website for unlawful purposes

  • Interfere with website functionality

  • Attempt unauthorized system access

  • Distribute malware or disruptive code

  • Scrape, copy, or misuse proprietary content

We reserve the right to restrict or terminate access for violations.

  1. INTELLECTUAL PROPERTY

All website content, logos, text, media, designs, branding, and materials are the exclusive property of EventSmith, LLC or its licensors. Unauthorized reproduction, modification, distribution, or commercial use is strictly prohibited.

  1. CLIENT RESPONSIBILITIES

Clients agree to:

  • Provide accurate event and contact information

  • Maintain safe working conditions

  • Ensure venue access, power, and load-in logistics

  • Secure any required permits or approvals

  • Comply with all venue rules and local laws

Clients are responsible for obtaining appropriate insurance coverage if required by their venue.

  1. PAYMENT TERMS

  • All payments are payable in U.S. dollars

  • Payments are processed via Square or QuickBooks

  • Retainers and payment schedules are governed by the signed service agreement

  • Late payments may result in service suspension or cancellation

  • Chargebacks and payment disputes may result in immediate service termination

All fees are non-refundable unless otherwise stated in writing.

  1. CANCELLATIONS AND FORCE MAJEURE

Cancellation terms are governed exclusively by the signed service agreement.

We shall not be liable for failure to perform due to events beyond reasonable control including, but not limited to:

  • Acts of God

  • Government orders

  • Venue closure

  • Power failures

  • Natural disasters

  • Illness or emergencies

  • Labor disputes

  1. EQUIPMENT AND LIABILITY

We retain full ownership and control of all equipment used. The client is responsible for safeguarding equipment from damage, theft, or interference caused by guests or vendors.

The Company is not liable for damages caused by venue restrictions, power issues, weather, or acts of third parties.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, EventSmith, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, revenue, or business opportunity.

Total liability for any claim shall not exceed the total fees paid to the Company for the specific event giving rise to the claim.

  1. INDEMNIFICATION

You agree to indemnify and hold harmless EventSmith, LLC, its owners, contractors, staff, and affiliates from any claims, liabilities, damages, losses, and expenses arising from:

  • Your breach of these Terms

  • Your event or guests

  • Venue conditions

  • Third-party actions

  • Misuse of services

  1. THIRD-PARTY SERVICES

We utilize third-party platforms for CRM, scheduling, planning, marketing, analytics, chat, and payment processing. We are not responsible for the privacy, security, or performance of third-party systems.

  1. PROMOTIONAL COMMUNICATIONS

By submitting an inquiry or engaging our services, you consent to receive administrative and promotional communications via email and SMS. You may opt out at any time via provided unsubscribe methods.

  1. REVIEWS, MEDIA, AND PROMOTIONAL USE

Public reviews, testimonials, and publicly posted media referencing our services may be used for marketing purposes. Private media is not used without public availability or written consent.

  1. NO GUARANTEES

We do not guarantee specific musical outcomes, audience reactions, venue conditions, or crowd behavior. Performance results are subjective and dependent on numerous external variables.

  1. TERMINATION

We reserve the right to terminate website access or service engagement for violations of these Terms, unsafe conditions, or non-payment.

  1. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. All disputes shall be resolved exclusively in Massachusetts courts.

  1. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Updated Terms become effective immediately upon posting.

  1. ENTIRE AGREEMENT

These Terms, together with the signed service agreement and Privacy Policy, constitute the entire agreement between you and EventSmith, LLC.
